OPTION 1 Anthony Lakes Mountain Resord(ALMR) gifts stock to Baker County. Baker Cou nty leases the resort and all its assets to a community based 501 C-3 non-profit called something like Friends of Anthony Lakes (FAL). Board of Directors of FAL prepares a business plan, develops an operating plan and hires a general manager to run day to day operations. Board of Directors sets policy for operation and the manager is in charge of all employees and has total autonomy in operation of the resort. This option would require working capital which the FAL does not currently have. PROS: Keep it Community based; Could utilize volunteer work and expertise; Could apply for grants for capital implovments; CONS: Need working capital; Need viable 501 C-3; Board could have trouble to consensus; Conflicts between general manager and board can be common place. Comments:
OPTION 2 ALMR gifts the stock to FAL direcctly. The same scenario as Option 1. Forest Service would need to approve of the change in license. Arguments are the same as Option 1 Comments:
OPTION 3 ALMR gifts stock to Baker County or FAL. They sell the Stock or assets to a private entity to run as a private business for a nominal fee. Baker County or FAL would keep an option to repurchase to stock or assets for the same nominal fee if the buyer no longer wanted to run the facility. Baker County or FAL would also need to approve of any sale of the asset in the future. All improvements other than normal maintenance would be property of new owner. PROS: Professional management by company which runs ski facility; No capital needs; Chancee for expansion and development; CONS: Potential loss of local control; Potential for not putting money back into the resort. Comments:
OPTION 4 ALMR gifts stock to Baker County or FAL. They lease the facility to a private entity to operate. They take care of all the operations. Argument same as Option 3 Comments:
